Welcome to LinguaMama. By accessing or using our website, mobile application, or any services provided by LinguaMama, Inc. ("LinguaMama," "we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms").

If you do not agree to these Terms, you may not access or use our Services. Your continued use of the Services constitutes acceptance of any modifications to these Terms.

2. Description of Services

LinguaMama provides a language acquisition platform that delivers AI-generated video content designed to facilitate natural language learning through comprehensible input. Our Services include:

• Access to video content in multiple languages and proficiency levels
• Personalized learning experiences based on your preferences
• Progress tracking and viewing history
• User account management
• Subscription and payment processing

We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time, with or without notice.

3. User Accounts

3.1 Account Creation

To access certain features of our Services, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security and confidentiality of your password
• Notify us immediately of any unauthorized use of your account
• Be responsible for all activities that occur under your account

3.2 Age Requirements

3.3 Account Termination

4. Subscriptions and Payments

4.1 Subscription Plans

LinguaMama offers various subscription plans with different features and pricing. By subscribing, you agree to pay the applicable fees and any applicable taxes.

4.2 Billing and Payment

• Subscription fees are billed in advance on a recurring basis (monthly or annually)
• Payment will be charged to your chosen payment method on the first day of each billing period
• All payments are processed securely through Stripe
• You authorize us to charge your payment method for all fees incurred
• You are responsible for maintaining valid payment information

4.3 Price Changes

We reserve the right to modify subscription prices. We will provide you with reasonable advance notice of any price changes. Your continued use of the Services after the price change becomes effective constitutes your agreement to pay the modified amount.

4.4 Cancellation and Refunds

• You may cancel your subscription at any time through your account settings
• Cancellations take effect at the end of your current billing period
• We do not provide refunds for partial months or unused portions of your subscription
• You will retain access to paid features until the end of your billing period
• Refunds may be granted at our sole discretion on a case-by-case basis

4.5 Free Trials

We may offer free trial periods for new users. If you do not cancel before the trial period ends, you will be automatically charged for a subscription. Trial eligibility is at our discretion and limited to one per user.

5. Acceptable Use

You agree not to:

• Violate any applicable laws, regulations, or third-party rights
• Use our Services for any illegal, fraudulent, or unauthorized purpose
• Interfere with or disrupt the Services or servers or networks connected to the Services
• Attempt to gain unauthorized access to any portion of the Services
• Reverse engineer, decompile, or disassemble any aspect of the Services
• Use automated means (bots, scrapers, crawlers) to access the Services
• Copy, distribute, or modify any content from the Services without authorization
• Share your account credentials with others or allow others to use your account
• Circumvent any technological measures designed to protect the Services
• Upload viruses, malware, or other harmful code
• Harass, abuse, or harm other users
• Impersonate any person or entity

6. Intellectual Property Rights

6.1 Our Content

All content available through the Services, including but not limited to videos, audio, text, images, graphics, logos, software, and data ("Content"), is owned by or licensed to LinguaMama and is protected by copyright, trademark, and other intellectual property laws.

6.2 Limited License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal, non-commercial use. This license does not include:

• The right to download, copy, or redistribute Content
• The right to use Content for commercial purposes
• The right to modify, create derivative works, or reverse engineer Content
• The right to remove copyright notices or other proprietary markings

6.3 User Content

Any content you submit, upload, or provide through the Services (such as feedback, comments, or suggestions) ("User Content") remains your property. However, by submitting User Content, you grant us a worldwide, non-exclusive, royalty-free, perpetual, irrevocable license to use, reproduce, modify, adapt, publish, and distribute such content for purposes of operating and improving the Services.

6.4 Trademarks

"LinguaMama," the LinguaMama logo, and other marks are trademarks of LinguaMama, Inc. You may not use these marks without our prior written permission.

7. AI-Generated Content

Our Services utilize artificial intelligence to generate educational content. You acknowledge and agree that:

• AI-generated content may contain errors, inaccuracies, or cultural nuances that differ from human-created content
• Content is designed for educational purposes and should not be relied upon as the sole source of language instruction
• We make no guarantees about the accuracy, completeness, or suitability of AI-generated content for any specific purpose
• You use AI-generated content at your own risk and discretion

8. Privacy

Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand how we collect, use, and protect your personal information.

9. Disclaimers and Limitations of Liability

9.1 No Warranty

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

We do not warrant that:

• The Services will meet your requirements or expectations
• The Services will be uninterrupted, timely, secure, or error-free
• The quality of content, information, or services will meet your expectations
• Any errors or defects will be corrected

9.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LINGUAMAMA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION EXCEED THE AMOUNT YOU HAVE PAID TO LINGUAMAMA IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

9.3 Educational Purposes

Our Services are designed to supplement language learning and should not be relied upon as the sole method of language acquisition. We make no guarantees regarding language proficiency outcomes, learning speed, or educational results.

10. Indemnification

You agree to indemnify, defend, and hold harmless LinguaMama, its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the Services
• Your violation of these Terms
• Your violation of any rights of another party
• Your User Content
• Your conduct in connection with the Services

11. Third-Party Services and Links

Our Services may contain links to third-party websites, services, or resources that are not owned or controlled by LinguaMama. We are not responsible for the content, privacy policies, or practices of any third-party websites or services.

We integrate with third-party services including:

• Stripe: Payment processing
• Google OAuth: Authentication services
• Supabase: Database and authentication infrastructure
• Cloudflare: Content delivery and security

Your use of these third-party services is subject to their respective terms and conditions.

12. Dispute Resolution

12.1 Informal Resolution

If you have any dispute with LinguaMama, you agree to first contact us at support@linguamama.ai and attempt to resolve the dispute informally. We will work in good faith to resolve any disputes.

12.2 Binding Arbitration

If we cannot resolve a dispute informally, you agree that any dispute arising out of or relating to these Terms or the Services will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association (AAA), rather than in court, except that you may assert claims in small claims court if your claims qualify.

The arbitration will be conducted in English, and the arbitrator's decision will be final and binding. Each party will bear its own costs and fees, except as required by law.

12.3 Class Action Waiver

YOU AGREE THAT DISPUTES WILL BE RESOLVED ON AN INDIVIDUAL BASIS ONLY, AND NOT AS A CLASS ACTION, CONSOLIDATED ACTION, OR REPRESENTATIVE ACTION. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

12.4 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of [State], United States, without regard to its conflict of law principles.

13. Changes to Terms

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect, and the invalid provision will be modified to the minimum extent necessary to make it valid and enforceable.

15.3 Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision. No waiver of any term shall be deemed a further or continuing waiver of such term or any other term.

15.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.

15.5 Force Majeure

We shall not be liable for any failure to perform due to causes beyond our reasonable control, including acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, network infrastructure failures, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.

15.6 Notice

We may provide notices to you via email or by posting to the Services. You consent to receive communications from us electronically and agree that such electronic communications satisfy any legal requirement that communications be in writing.
